Terms of service

1. Acceptance of Terms By accessing the Angel Development Group website, signing up for the Angel Affiliate Program, utilizing our tracking links, or accepting any commission payments from the Company, you ("Affiliate" or "Vendor") agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately cease all promotional activity and notify the Company in writing as set forth in Section 9. Use of the Company’s proprietary tracking software or marketing assets constitutes a full and automated acceptance of these terms.

2. Nature of the Relationship
Angel Development Group ("the Company") provides a platform for Affiliates to promote third-party Merchants (e.g., licensed Sportsbooks and Casinos). The Affiliate acts as an independent contractor. No employment, partnership, or joint venture is created by this agreement. The Company acts as an intermediary; therefore, the Affiliate’s relationship is ultimately tied to the Merchant's satisfaction with the traffic provided.

3. "Pay-When-Paid" Payout Contingency
Affiliate acknowledges that the Company’s obligation to pay any commission is strictly contingent upon the Company’s actual receipt of cleared funds from the Merchant for the specific activity generated by the Affiliate. This "pay-when-paid" model is a condition precedent to any payment obligation. If a Merchant refuses to remit payment for any reason—including but not limited to traffic quality, regulatory non-compliance, or failure to meet Merchant-specific "Qualified User" criteria—the Company is under no obligation to pay the Affiliate for that activity.

4. Determination of "Qualified" Activity
All determinations regarding whether a registration or deposit constitutes a "Qualified User" or a "Payable Action" are made solely by the Merchant. The Company relies on Merchant-provided data and reporting as the final record of truth. Any CPA rates discussed (via email, video, or dashboard) are based on the assumption of 100% traffic qualification. If a Merchant applies "scrubbing," "clawbacks," or "rate adjustments" due to the Affiliate’s traffic quality, the Company will adjust the Affiliate's final payout proportionally to reflect the actual revenue received.

5. Compliance & Advertising Standards
Affiliates must comply with all local, state, and federal laws, as well as the specific Campaign Terms provided by the Merchant. Prohibited Methods: Any acquisition methods not explicitly approved in writing—specifically including unauthorized in-person activations or incentivized sign-ups—are grounds for immediate account deactivation and forfeiture of pending commissions. Regulatory Compliance: In the regulated gaming industry, the Company and its Merchants reserve the right to audit the Affiliate's methods at any time to ensure compliance with gaming commission standards.

6. Limitation of Liability & Indemnification
The Company’s total liability for any dispute arising from this relationship is limited to the amount of commissions actually received by the Company from the Merchant that are directly attributable to the Affiliate’s traffic. The Company shall not be liable for "lost profits," "expected revenue," or speculative damages. Affiliate agrees to indemnify and hold harmless Angel Development Group and its officers, directors, and employees from any claims, damages, or legal fees arising from the Affiliate’s breach of Merchant compliance standards or these Terms of Service.

7. Modifications
The Company reserves the right to modify these Terms of Service at any time. Continued participation in the program following any such changes constitutes acceptance of the new terms.

8. Governing Law & Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wyoming, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
